NON-DISCLOSURE AGREEMENT (NDA)

As a condition of being permitted to attend the 2026 Krabbe Translational Research Network meeting, presented by the Rosenau Family Research Foundation (the “Foundation”) on March 18th-20th, 2026 (the “Meeting”), “you”, the Meeting attendee, agree to read and strictly comply with the obligations set forth in this Non-Disclosure Agreement (this “Agreement”).

  1. Confidential Information. As used in this Agreement, the term “Confidential Information” means all non-public information presented or made available at or in connection with the Meeting by the Foundation and/or by any attendee, presenter, person or entity other than you, whether orally, visually, in writing or through any other medium, and whether or not marked “confidential”. Confidential Information expressly includes, but is not limited to, unpublished research, information related to the Foundation’s plans or operations, and any other non-publication information that does or could haveIf commercial value or utility to the person or entity to whom it belongs.
  2. Clarification as to Your Information. For the avoidance of doubt this Agreement does not restrict your ability to present at the Meeting or otherwise use any information that was in your possession prior to the Meeting.
  3. Non-Disclosure. You covenant and agree to maintain the Confidential Information in strict confidence and protect the Confidential Information using at least the same degree of care that you use to protect your own most confidential information (but in no event less than a reasonable standard of care). You covenant and agree not to misappropriate any Confidential Information, not to make any copies of any Confidential Information, and not to use any Confidential Information and/or disclose or make available any Confidential Information to any third party, except if, and then only to the extent that, you have obtained the express prior written permission from the person to whom the Confidential Information belongs (for clarity, this may be the Foundation or it may be someone else, depending on the Confidential Information in question). You must limit your use of Confidential Information to the purpose or purposes expressly authorized by the person to whom the Confidential Information belongs.
  4. No Warranties as to Information. Neither the Foundation nor any other person or entity makes any warranty to you whatsoever as to any matter related to the Confidential Information disclosed or provided by it (including but not limited to the completeness or accuracy of such information), and all such Confidential Information is presented “AS-IS” and “WITH ALL FAULTS”.
  1. Time Period. The obligations contained in this Agreement shall survive and continue indefinitely beyond the end of the Meeting and shall continue to each specific item of Confidential Information until such Confidential Information becomes known to the general public and therefore no longer constitutes Confidential Information.
  2. Remedies. You acknowledge and agree that any breach by you of your obligations under this Agreement constitutes a breach of contract, as well as a serious breach of trust and a serious violation of the standards and policies that the Foundation requires of those persons and entities that have a relationship with the Foundation. If you breach or fail to comply with any of your obligations under this Agreement, the Foundation may take disciplinary action against you that the Foundation deems fit, including but not limited to any or all of the following: (a) prohibiting you from attending future Foundation meetings or events; (b) prohibiting you from applying for or receiving Foundation grant funds; (c) requiring you to write a formal letter of apology acceptable to the Foundation before any of your privileges related to the Foundation are restored; and/or (d) permanently severing your relationship with the Foundation. The Foundation may also pursue any other remedies available to it at law or in equity (including seeking a court order), and, other persons to whom the Confidential Information belongs may also be able to pursue or obtain legal remedies against you.
  3. Applicable Law. This Agreement shall be governed in all respects by the laws of the State of Minnesota, without regard to its conflicts of laws principles.
  4. Entire Agreement; Severability; Waiver. Each of the Sections of this Agreement shall stand as an independent and severable provision, and the invalidity of any one Section, or portion thereof shall not affect the validity of any other provision. In the event any provision shall be construed to be invalid, no other provision of this Agreement shall be affected thereby. This Agreement is the entire agreement between you and the Foundation related to the Confidential Information, and this Agreement may be modified only by a written amendment signed by both you and the Foundation. Any waiver of this Agreement must be in writing and signed by the Foundation in order to be effective and any waiver given in one instance shall not be effective in any other instance. You acknowledge and agree that the Foundation cannot waive this Agreement as to (and cannot grant you any rights to use or disclose) any Confidential Information that the Foundation does not own. No act or omission of the Foundation and/or its representatives shall in any event operate to grant, or be construed to grant, any rights to you to use or disclose any Confidential Information that the Foundation does not own.
  5. Effectiveness of Agreement. The Foundation’s willingness to permit you to attend the Meeting constitutes the consideration given by the Foundation to you in exchange for your obligations under this Agreement, and you hereby acknowledge and agree that such consideration is good and sufficient consideration. This Agreement shall become irrevocably binding on you at the time of your attendance at the Meeting. If you cannot or do not wish to comply with your obligations under this Agreement, you are not permitted to attend, and agree not to attend, the Meeting.
